Terms of Service

1. Acceptance of Terms

By accessing or using Unflagged (the "Service"), operated at unflagged.store, you agree to be bound by these Terms of Service ("Terms"). If you do not agree to all of these Terms, you must not access or use the Service. These Terms constitute a legally binding agreement between you ("you" or "User") and Unflagged ("we," "us," or "our").

We reserve the right to refuse service to anyone for any reason at any time.

2. Description of Service

Unflagged is a software-as-a-service (SaaS) platform that provides AI-powered compliance scanning tools for Etsy sellers. The Service includes:

• Automated scanning of Etsy listing content for potential trademark infringement, policy violations, and other compliance risks
• Risk scoring that evaluates the severity and likelihood of enforcement action on individual listings
• AI-generated fix suggestions that provide alternative wording and modifications to reduce compliance risk
• Appeal letter generation to assist sellers in responding to Etsy account suspensions, listing deactivations, or policy warnings
• Policy monitoring and alerts to notify sellers of changes to Etsy's marketplace policies that may affect their listings

3. Advisory Nature of the Service

Unflagged is an advisory tool only. The Service provides automated analysis and recommendations based on publicly available trademark data, Etsy's published policies, and AI-powered content analysis. The Service does not constitute legal advice, and no attorney-client relationship is formed through your use of Unflagged.

You acknowledge and agree that:

• Maintaining compliance with Etsy's policies, trademark law, and all applicable regulations remains solely your responsibility
• Scan results and risk scores are estimates based on available data and may not reflect Etsy's actual enforcement decisions
• AI-generated suggestions and appeal letters are starting points that you should review and customize before use
• A "safe" risk score does not guarantee that Etsy will not take enforcement action against a listing
• You should consult a qualified attorney for legal advice regarding trademark disputes or complex compliance matters

4. Account Terms

4.1 Account Registration

To access certain features of the Service, you must create an account. When registering, you agree to provide accurate, current, and complete information and to update such information to keep it accurate, current, and complete.

4.2 One Account Per Person

Each individual may maintain only one account. Creating multiple accounts to circumvent plan limitations, abuse free trials, or evade a prior termination is strictly prohibited and grounds for immediate account termination.

4.3 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately at hey@unflagged.store if you become aware of any unauthorized access to or use of your account.

5. Subscription and Billing

5.1 Free Trial

New subscribers are eligible for a 7-day free trial on their first paid subscription. During the trial period, you will have full access to the features included in your selected plan. No charge will be made during the trial period. You may cancel at any time during the trial without being charged.

5.2 Billing

All paid subscriptions are billed through Stripe on a recurring monthly or annual basis, depending on your selected billing cycle. By subscribing to a paid plan, you authorize us to charge the payment method on file at the beginning of each billing cycle.

5.3 Cancellation

You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of your current billing period. You will retain access to paid features until your current billing period expires. No partial refunds are issued for unused time within a billing period, except as described in our Refund Policy.

5.4 Price Changes

We reserve the right to modify subscription pricing. Any price changes will be communicated to you at least 30 days in advance and will take effect at the start of your next billing cycle following the notice period.

6. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, UNFLAGGED AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

• Loss of revenue, profits, or business resulting from Etsy's enforcement actions, listing deactivations, or account suspensions
• Damages arising from reliance on scan results, risk scores, or AI-generated recommendations provided by the Service
• Damages resulting from any unauthorized access to or alteration of your data
• Damages resulting from interruption or cessation of the Service

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE SERVICE EXCEED THE AMOUNT YOU HAVE PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

Unflagged does not control and is not responsible for Etsy's enforcement decisions, policy interpretations, or marketplace governance. We provide no guarantee that compliance with our recommendations will prevent enforcement action by Etsy or any third party.

7. Intellectual Property

7.1 Our Intellectual Property

The Service, including all software, algorithms, user interfaces, designs, text, graphics, and other content created by Unflagged, is owned by us and is protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of the Service without our prior written consent.

7.2 Your Content

You retain full ownership of all listing content, product descriptions, images, and other materials you submit to the Service for scanning. By submitting content to Unflagged, you grant us a limited, non-exclusive, non-transferable license to process that content solely for the purpose of providing the Service to you. This license terminates upon deletion of your account or the applicable content.

8. Prohibited Uses

You agree not to use the Service for any of the following purposes:

1. Automated scraping or data extraction: Using bots, scrapers, or automated tools to access the Service or extract data beyond the scope of normal use
2. Account sharing: Sharing your account credentials with third parties or allowing multiple individuals to use a single account (Agency plans with authorized team members are excluded from this restriction)
3. Reverse engineering: Attempting to decompile, disassemble, reverse engineer, or otherwise derive the source code, algorithms, or data models of the Service
4. Competitive use: Using the Service to develop or improve a competing product or service
5. Abuse of the scanning system: Submitting content unrelated to Etsy listings, submitting intentionally harmful or illegal content, or attempting to manipulate scan results
6. Circumventing limitations: Attempting to bypass plan-based scan limits, rate limits, or other usage restrictions
7. Interference: Interfering with or disrupting the integrity or performance of the Service or the data contained therein

9. Termination

9.1 Termination by You

You may close your account at any time through your account settings or by contacting us at hey@unflagged.store. Upon account closure, your subscription will be cancelled and your data will be deleted in accordance with our Privacy Policy.

9.2 Termination by Us

We may suspend or terminate your account immediately and without prior notice if you violate these Terms, engage in prohibited uses, fail to pay subscription fees, or if we reasonably believe your use of the Service poses a risk to us or other users. In the event of termination for cause, refunds will be issued at our discretion in accordance with our Refund Policy.

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE, OR THAT SCAN RESULTS WILL BE ACCURATE, COMPLETE, OR CURRENT.

11. Indemnification

You agree to indemnify, defend, and hold harmless Unflagged and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in connection with your use of the Service, your violation of these Terms, or your violation of any rights of a third party.

12. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any dispute arising out of or relating to these Terms or the Service shall first be attempted to be resolved through good-faith negotiation. If negotiation fails, the dispute shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association.

13. Changes to These Terms

We reserve the right to modify these Terms at any time. For material changes, we will provide at least 30 days' notice via email to the address associated with your account before the changes take effect. Non-material changes (such as formatting corrections or clarifications that do not alter your rights or obligations) may be made without prior notice.

Your continued use of the Service after the effective date of any changes constitutes your acceptance of the revised Terms. If you do not agree to the revised Terms, you must stop using the Service and close your account.

14. Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. The invalid or unenforceable provision shall be modified to the minimum extent necessary to make it valid, legal, and enforceable while preserving its original intent.

15. Entire Agreement

These Terms, together with our Privacy Policy and Refund Policy, constitute the entire agreement between you and Unflagged regarding the use of the Service and supersede all prior or contemporaneous agreements, communications, or understandings, whether oral or written.
